- Demands
- Actions
- Lawsuits
- Proceedings
- Liabilities
- Damages
- Losses
- Costs
- Expenses (including reasonable attorneys’ fees and court costs)
Covered Situations
Your indemnification obligations arise from:
Your Conduct:
- Your use or misuse of the Website or Services
- Your violation of these Terms of Use or any applicable law
- Your violation of any rights of another person or entity
- Your negligent or willful misconduct

You would be required to indemnify ABC Surrogacy if:
- A surrogate sues ABC Surrogacy over your alleged breach of a surrogacy agreement
- Intended parents sue ABC Surrogacy over false information you provided in your application
- A third party claims you infringed their intellectual property in User Content you submitted
- Government authorities investigate ABC Surrogacy due to illegal conduct by you
- Another user suffers damages due to your violation of these Terms
- ABC Surrogacy incurs legal fees defending against claims arising from your actions

- Maintain adequate liability insurance
- Consider professional liability coverage if applicable

16. DISPUTE RESOLUTION AND ARBITRATION AGREEMENT

THIS SECTION CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS.

Scope of Arbitration Agreement

Except as expressly provided below, you and ABC Surrogacy agree that any dispute, claim, or controversy arising out of or relating to:

- The Privacy Policy
- Your use of or access to the Website or Services
- Any services or goods provided by ABC Surrogacy
- Any advertising or marketing by ABC Surrogacy
- The relationships between you, ABC Surrogacy, and other users or third parties
Shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (the “AAA Rules”), as modified by this Arbitration Agreement.
Excluded Disputes:
The following disputes are NOT subject to arbitration:
- Small claims court actions (if the claim qualifies)
- Disputes regarding the validity, scope, or enforceability of this Arbitration Agreement
- Claims for injunctive or equitable relief to protect intellectual property rights
- Any dispute that cannot be arbitrated as a matter of law
Arbitration Rules and Procedures

- Award attorneys’ fees and costs as permitted by law or these Terms
Arbitration Process:
- Initiation: Either party may initiate arbitration by filing a demand with AAA

- Your Costs: You are responsible for your own attorneys’ fees and costs unless otherwise awarded by the arbitrator or required by law
- Excessive Claims: If the arbitrator determines that your claim was filed for an improper purpose or is frivolous, you may be required to reimburse ABC Surrogacy for its fees and costs
Fee Waiver:
If you cannot afford the filing fees, you may apply to AAA for a fee waiver. ABC Surrogacy will not seek attorneys’ fees and costs in arbitration unless the arbitrator determines that your claim was frivolous or brought for an improper purpose.
Class Action Waiver
INDIVIDUAL BASIS ONLY:
YOU AND ABC SURROGACY AGREE THAT:
- Each may bring claims against the other only in an individual capacity
- Neither may bring claims as a plaintiff or class member in any class, consolidated, or representative action
- The arbitrator may not consolidate more than one person’s claims
- The arbitrator may not preside over any form of class, consolidated, or representative proceeding
- The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary for that party’s individual claim
No Class-Wide Relief:
Unless both you and ABC Surrogacy agree otherwise in writing:
- The arbitrator may not award class-wide, collective, or representative relief
- Each party’s claims must be heard individually
- Claims cannot be combined with claims of other users
Severability of Class Waiver:
If any court or arbitrator determines that the class action waiver is void or unenforceable for any reason, or that arbitration can proceed on a class basis, then the entire Arbitration Agreement shall be null and void (but the rest of these Terms shall remain in effect).
Jury Trial Waiver
WAIVER OF JURY TRIAL:
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ABC SURROGACY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES.
This waiver applies whether the proceeding is in arbitration or court (if arbitration is not required).
Opt-Out Right
How to Opt Out:
You have the right to opt out of this Arbitration Agreement by sending a written notice to ABC Surrogacy within 30 days of first accepting these Terms.

- State clearly: “I opt out of the arbitration agreement”
- Sent from the email address associated with your account
Effect of Opt-Out:
- If you validly opt out, the Arbitration Agreement will not apply to you
- Disputes will be resolved in court as provided in Section 17
- Opting out does not affect any other provisions of these Terms
- You cannot opt out after the 30-day period has expired
Survival and Severability
This Arbitration Agreement:
- Survives termination of your account or these Terms
- Remains in effect even if you stop using the Services
- Applies to claims arising before, during, or after your use of the Services
If any portion of this Arbitration Agreement is found to be invalid or unenforceable, the remainder shall remain in effect, except as provided in the Class Action Waiver section above.

18. TERMINATION AND SUSPENSION
Your Right to Terminate
Voluntary Termination:
You may terminate your account and cease using the Services at any time by:

- Following the account closure procedures specified in your account settings
- Ceasing all use of the Website and Services
Effect of Your Termination:
- You remain responsible for all fees incurred prior to termination
- You must fulfill any outstanding obligations under service agreements
- Certain provisions of these Terms survive termination (as specified below)
- ABC Surrogacy may retain your information as described in the Privacy Policy
ABC Surrogacy’s Right to Terminate
Termination by ABC Surrogacy:
ABC Surrogacy reserves the right to terminate or suspend your access to the Website or Services, in whole or in part, at any time and for any reason, with or without prior notice, including but not limited to:
Cause for Termination:
- Violation of these Terms of Use or any applicable policy
- Failure to pay fees when due
- Engaging in fraudulent, illegal, or inappropriate conduct
- Providing false or misleading information
- Posing a risk to ABC Surrogacy, other users, or third parties
- At ABC Surrogacy’s sole discretion for any reason or no reason
Immediate Termination:
ABC Surrogacy may immediately terminate your access without prior notice for:
- Serious violations of these Terms
- Illegal activity or conduct
- Threats to safety or security
- Court order or legal requirement
- Emergency situations
Effects of Termination
Upon Termination:
- Your right to access and use the Website and Services immediately ceases
- You must immediately stop using all ABC Surrogacy systems, materials, and resources
- You remain bound by obligations that survive termination
- ABC Surrogacy may delete your account and User Content (subject to legal retention requirements)
- Outstanding fees and obligations remain due and payable
No Refunds:
Except as required by law or specifically provided in your service agreement:
- Termination does not entitle you to a refund of any fees paid
- You remain responsible for all fees incurred prior to termination
- ABC Surrogacy is not liable for any consequences of termination
Survival of Terms
The following provisions survive termination:
- Sections related to: User Content licenses, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution and Arbitration, Governing Law, and General Provisions
- Any provisions that by their nature should survive termination
- All obligations that accrued prior to termination
Return of Materials
Upon termination, you must:
- Return or destroy all ABC Surrogacy confidential information
- Cease using all ABC Surrogacy intellectual property
- Remove any ABC Surrogacy content from your systems
- Certify compliance with these requirements upon request
Re-Activation
If your account is terminated:
- You may not create a new account without ABC Surrogacy’s express written permission
- ABC Surrogacy may refuse to re-activate your account at its sole discretion
- Re-activation may be subject to additional terms and conditions
19. MODIFICATIONS TO TERMS
Right to Modify
ABC Surrogacy reserves the right, in its sole discretion, to modify, amend, update, or revise these Terms of Use at any time, for any reason, with or without prior notice.
Changes May Include:
- Substantive modifications to legal provisions
- Additions or deletions of sections
- Updates to reflect new features or services
- Changes to comply with legal requirements
- Clarifications or corrections

20. GENERAL PROVISIONS
Entire Agreement
These Terms of Use, together with the Privacy Policy and any other legal notices or agreements referenced herein, constitute the entire agreement between you and ABC Surrogacy regarding your use of the Website and Services and supersede all prior:
- Oral or written communications
- Proposals or negotiations
- Understandings or agreements
- Representations or warranties
Severability
If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be:
- Invalid
- Illegal
- Unenforceable
- Void
Then:
- That provision shall be deemed severed from these Terms
- The remaining provisions shall remain in full force and effect
- The invalid provision shall be reformed to the minimum extent necessary to make it enforceable
- The invalidity of one provision shall not affect the validity of other provisions
Exception: If the Class Action Waiver is found unenforceable, the entire Arbitration Agreement shall be void.
Waiver
No Implied Waiver:
ABC Surrogacy’s failure or delay in enforcing any provision of these Terms shall not be deemed a waiver of:
- That provision
- Any other provision
- The right to enforce provisions in the future
Express Waiver:
Any waiver must be:
- In writing
- Signed by an authorized representative of ABC Surrogacy
- Expressly stating the provision being waived
- Limited to the specific circumstances described
A waiver in one instance does not constitute a waiver in any other instance.
Assignment
Your Restrictions:
You may not assign, transfer, or delegate:
- These Terms
- Your rights or obligations hereunder
- Your account
Without ABC Surrogacy’s prior written consent. Any attempted assignment in violation of this provision is void.
ABC Surrogacy’s Rights:
ABC Surrogacy may freely assign or transfer these Terms and all rights and obligations hereunder:
- To any affiliate or subsidiary
- In connection with a merger, acquisition, or sale of assets
- To any successor entity or purchaser
- For any reason or no reason
You will be notified of any assignment that materially affects your rights.
Third-Party Rights
These Terms are for the sole benefit of you and ABC Surrogacy. No third party:
- Has any rights under these Terms
- Is an intended beneficiary
- May enforce any provision
Except as expressly provided herein.
Force Majeure
ABC Surrogacy shall not be liable for any failure or delay in performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to:
- Acts of God (earthquakes, floods, fires)
- War, terrorism, or civil unrest
- Government actions or regulations
- Labor disputes or strikes
- Utility failures or telecommunications outages
- Pandemics or public health emergencies
- Supplier or vendor failures

All notices to ABC Surrogacy must be sent to:

To You:
ABC Surrogacy may provide notices to you:
- By email to the address in your account
- By posting on the Website
- Through in-app notifications
- By mail to the address in your account

You consent to receive electronic notices and agree that such notices satisfy any legal requirement for written notice.
Headings
Section headings in these Terms are for convenience only and:
- Do not affect the interpretation of provisions
- Are not substantive terms
- Shall not be used to interpret ambiguous provisions
Language
These Terms are drafted in English. Any translation is provided for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.
Interpretation

- “Including” means “including but not limited to”
- Singular terms include the plural and vice versa
- “Or” is not exclusive
- References to “days” mean calendar days unless otherwise specified

Relationship of Parties

- An agency relationship
- A franchisor-franchisee relationship
Between you and ABC Surrogacy. You are an independent party contracting with ABC Surrogacy for Services.
Statute of Limitations
Time to Bring Claims:
You agree that any claim or cause of action arising out of or related to:

- Your use of the Website or Services
- Any services provided by ABC Surrogacy
Must be filed within one (1) year after the claim or cause of action arose. After this period, such claims are permanently barred.
Equitable Relief
Notwithstanding the Arbitration Agreement, ABC Surrogacy may seek equitable relief (including injunctive relief) in any court of competent jurisdiction to:
- Protect its intellectual property rights
- Enforce confidentiality obligations
- Prevent imminent harm
- Obtain provisional or ancillary remedies
Electronic Signatures
You consent to the use of electronic signatures, contracts, orders, and records and to the electronic delivery of notices, policies, and records of transactions with ABC Surrogacy. Your consent applies to all interactions with ABC Surrogacy.
U.S. Legal Compliance
The Website and Services are operated from the United States and intended for users in the United States. By using the Website or Services, you certify that:
- You are not prohibited from receiving U.S. products or services under applicable laws
- You will comply with all U.S. export control laws
- You are not located in a country subject to U.S. embargo
- You are not on any U.S. government list of prohibited or restricted parties
